Terms of Service

Effective: TODO: DD Month YYYY · Version 0.1-draft

1. Who this agreement is with

These Terms of Service ("Terms") are a contract between you ("you", "your", or the "Customer") and vyaparlekha ("WA Suite", "we", "us", "our"), the operator of WA Suite (the "Service"), available at https://whatsapp.autoinning.com and related apps. By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. What the Service is

WA Suite lets registered businesses import contact lists, build WhatsApp message templates, and run WhatsApp campaigns. Messages are delivered through WhatsApp Business Platform via our WhatsApp Business Solution Provider ("BSP"), currently Gupshup. We are not WhatsApp, Meta, or Gupshup, and this Service is provided independently of them.

3. Eligibility & your account

  • You must be at least 18 and able to form a binding contract, signing up on behalf of a genuine business or organisation.
  • The information you give us at signup (business name, phone number, email) must be accurate and kept up to date.
  • You're responsible for keeping your login credentials confidential and for all activity under your account, including sub-users you invite.
  • Notify us immediately at TODO: info@vyaparlekha.com if you suspect unauthorised access to your account.

4. Free trial

New accounts get a 14-day free trial with no payment card required. Referral bonus days may be credited as described at signup. We may change trial length or eligibility for future signups at any time; changes won't shorten a trial already in progress.

5. Subscription plans

Paid plans, pricing, and billing cycles (monthly/annual) will be published on our pricing page before you're asked to pay. Fees are quoted in INR, exclusive of applicable taxes (e.g. GST) unless stated otherwise, and are billed in advance for the period you choose. Continued use after your trial ends, or after a plan change, constitutes acceptance of the then-current fees for that plan.

6. Message & conversation charges

WhatsApp charges conversation-based fees that are set by Meta and passed through by our BSP; these are separate from your WA Suite subscription and may change without our control. Where the Service sells message credits or wallet top-ups, those are described separately at time of purchase and are governed also by our Refund & Cancellation Policy.

7. Acceptable use — WhatsApp messaging rules

WhatsApp access is a privilege granted by Meta through our BSP relationship, and misuse can get your number banned platform-wide. By using the Service to send messages, you agree that you will:

  • Only message contacts who have given you clear, verifiable opt-in consent to receive WhatsApp messages from your business, and stop messaging anyone who opts out.
  • Comply with the WhatsApp Business Messaging Policy, Meta's Commerce Policy, and all applicable Indian law, including TRAI's unsolicited-commercial-communication rules and DND registrations.
  • Not use the Service to send spam, chain messages, phishing, malware, deceptive claims, or content promoting illegal goods/services, hate speech, adult content, or gambling.
  • Not upload contact lists you don't have the legal right to message, or that were purchased/scraped without consent.
  • Not attempt to circumvent WhatsApp's rate limits, quality ratings, or template-approval process.

We may suspend or remove content, templates, or campaigns that we reasonably believe violate this section, WhatsApp's policies, or the law — including before delivery.

8. Your content & data

You retain ownership of the business data, contact lists, templates, and message content you upload ("Customer Content"). You grant us a licence to host, process, and transmit Customer Content solely to operate and improve the Service, including sharing the minimum necessary data with our BSP/WhatsApp to deliver your messages. You're solely responsible for the legality of Customer Content and for having the rights/consents needed to send it. See our Privacy Policy for how we handle personal data.

9. Third-party services

The Service depends on third parties we don't control — notably WhatsApp/Meta and our BSP (Gupshup) for message delivery, and our email and hosting providers. We're not responsible for outages, policy changes, account suspensions, or message-delivery failures caused by those third parties, though we'll try to keep you informed and help where we can.

10. Delivery is not guaranteed

Message delivery, delivery receipts, and read receipts depend on WhatsApp/Meta and the recipient's device/network and are outside our control. We don't guarantee delivery, open, or response rates.

11. Suspension & termination

We may suspend or terminate your account if you materially breach these Terms (particularly §7), if required by WhatsApp/Meta/our BSP, if your account is used fraudulently, or for non-payment of fees due. You may stop using the Service and close your account at any time — see our Refund & Cancellation Policy for how that affects billing. On termination, your right to use the Service ends; we may retain data as described in our Privacy Policy or as required by law.

12. Intellectual property

The Service, its software, design, and branding are owned by WA Suite or our licensors and are protected by applicable IP laws. These Terms don't grant you any rights to our trademarks, logos, or source code beyond what's needed to use the Service as intended.

13. Disclaimer of warranties

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and don't warrant that the Service will be uninterrupted, error-free, or that message delivery will meet any particular rate.

14. Limitation of liability

To the extent permitted by law, WA Suite's total liability arising out of or relating to the Service is limited to the fees you paid us in the 3 months preceding the claim, and we are not liable for indirect, incidental, or consequential damages (including lost profits or lost business opportunities), including any arising from WhatsApp/Meta account suspension.

15. Indemnification

You agree to indemnify and hold WA Suite harmless from claims arising from your Customer Content, your breach of §7 (Acceptable Use), or your violation of any law or third-party right in connection with your use of the Service.

16. Changes to these Terms

We may update these Terms from time to time. We'll update the "Effective" date above and, for material changes, make reasonable efforts to notify account owners by email or in-app notice before the change takes effect.

17. Governing law & disputes

These Terms are governed by the laws of India. Courts in TODO: City, India have exclusive jurisdiction over disputes arising from these Terms, subject to applicable consumer-protection venue rules.

18. Grievance Officer

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the Grievance Officer for the Service is:
